Terms and Technical Policies:

Third-Party Content & Technology Integration
Although Websites to Order will make the best efforts to integrate this website with any required independent third-party content and/or technology services such as – Merchant Account Systems, Shopping Cart Systems, Data Feeds, Database Access and so on – we do not guarantee their functionality, service, up-time, or provide support on their behalf.

Software Terms
License – Websites to Order hereby grants the client a non-exclusive, non-transferable, non-sublicense right to use any proprietary Websites to Order visual display code, business logic code, and database code for the sole purpose of operating the website pursuant to this agreement. The client gains no rights in such software other than set forth in this section. The license shall expire at such time as such website in no longer operational.

Rights to Content and Data – The client will receive all rights to the graphics, graphic master files specific to the clients website upon the full payment for all services rendered and materials purchased has cleared our bank posting. The client does not have rights in any form to collect or distribute to another system or third-party any code, images, content, data, or documentation until full payment is cleared our bank posting for all services rendered. The client does not have rights to the custom developed source code, and database content. A licensed copy may be sold to the client via our discretion.

Much of the content of a dynamically produced website is collected and stored in a database (MySQL by default). All content contained in the database that is proprietary to Websites to Order’s technology remains our exclusive property.

In the event that the client no longer wishes to do work with Websites to Order, or does not want to continue hosting the website with Websites to Order (if applicable), the exclusive content and data will be provided to the client on CD with the exception of the Slice & Dice™ source code. It should be noted, however, that the dynamic features of the website such as email forms, search tool, password protected areas, and dynamically presented content from databases most likely will require modifications to allow the site to work on another providers Web hosting system. All graphics and the master files, which produced them will also be provided on CD.

In the event that Websites to Order were no longer able to support the website, or go out of business, the client will receive all graphics and the master files, which produce them as well as the database content, and source code so that the client could contact another developer and or isp to maintain the site.

Warranties
Websites to Order warrants to the client all services rendered under this agreement will be performed in a good and workman like manner in accordance with industry standards. In the event the functionality of any website developed by Websites to Order under this agreement, after completion by Websites to Order and final acceptance by the Client, shall fail in accordance with the specifications of this agreement, Websites to Order will make commercially reasonable efforts to correct such deficiencies at no charge, and failing that to return to the client fees paid by the client to Websites to Order related to the area of development specific to the deficient component or region of the website including set-up fees, configuration, and component programming. Websites to Order shall have no liability for any claim under this section not made within 30-days after clients final acceptance.

Limitations of Liability and Damages
In no event will Websites to Order be liable for any consequential, special, indirect or incidental damages including by way of example: loss of use, lost profits arising out of its use, or cost of procurement of substitute goods or services even if Websites to Order had been advised in advance of the possibility of such loss, cost of damages, arising out of or in connection with this agreement, or in the use of or performance of Websites to Order software. The client agrees that Websites to Order’s liability whether in contract, tort, negligence, strict liability, and statue or otherwise to the client shall not exceed the fees paid by the client to Websites to Order relating to this agreement.
